Minutes of General Meeting, NTUMCAA-NA

Time: 1:20 PM, 10/7/2017

New Business:
I. Treasurer’s report 
Dr. Min-Yen Han, Treasurer, reported that the current balance of our association bank account was $707.63 as of 8/31/2017. The $7,000 seed money transferred to the Greater New York Chapter to facilitate the 2017 convention was expected to be returned to the possession of NTUMCAA-NA. 

II. Bylaws amendment
A draft of bylaws amendment was emailed to all members present one week prior to this general meeting for review. Dr. Wuu-Shung Chuang, Chairman of Bylaws Committee, moved that bylaws amendment be discussed and approved. Without any objection, it was voted in favor unanimously by all members present. The bylaws amendment was adopted.

III. Appointments of new officers
Dr. Yihnan Norman Chiou, Chairman of Nominating Committee, announced a new slate of officers approved by the board, as follows:

Chairman (2017-2018): Ching-Huang Huang (黄清煌 M1973)
Vice Chairman (2017-2018): Richard Hwang (黃瑞煊 M1977)
Secretary (2017-2018): Sheng-Han Kuo (郭昇翰 M2004)

Minutes of past board meetings were not recorded. Consequently, there were neither old businesses nor minutes of previous meetings available for review.

New Business:

Dr. Wuu-Shung Chuang, Chairman of Bylaws Committee, moved that our bylaws be amended as attached.

The motion was adopted and the bylaws amendment was to be included in the agendas at the general meeting on 10/7/2017.

III. Election of new officers
Anticipating an uneventful passage of bylaws amendment at the upcoming general member meeting, Dr. Ching-Huang Huang, Chairman of the Board, recommended to elect Dr. Richard Hwang (黃瑞煊 M1977) and Dr. Grace Liu (劉應溪 M1977) board directors for their exemplary dedications to our association. Dr. Ching-Huang Huang also appointed a new slate of officers:

The new directorships and appointments were approved unanimously by all board directors present, which constituted a majority of the entire board.

IV. Charitable organization status of NTUMCAA
Dr. Ching-Huang Huang, Chairman of the Board, came to notice that NTUMCAA, Inc. was neither a 501(c) nonprofit organization nor an entity eligible to receive charitable contributions. Dr. Min-Yen Han, Treasurer, was asked to explore the possibility of applying for a 501(c) status.

V. General meeting in 2018
The time and place for the 2018 general meeting had not been set. The Southern California Chapter was contemplating hosting this event. Further discussions were carried over to the next board meeting.
